Terms of Service

1. General Information

These terms and conditions govern the use of the cyberbuildsolutions.com website and services offered by CYBERBUILD SOLUTIONS S.R.L. (CUI 53532866), with primary operating market in Bucharest and registered office (incorporation) in Corbu, Constanța county, Romania. By accessing or using our services, you agree to these terms.

2. Services Offered

CyberBuild Solutions offers:

• Web development and digital solutions
• Microsoft Azure cloud infrastructure
• AI and Microsoft 365 Copilot implementation
• Cybersecurity and compliance (GDPR, NIS2)
• Process digitalization and automation
• IT retainer and monthly support
• Workshops and training (CyberBuild Academy)

3. Fees and Payments

• Invoicing is in EUR, excluding VAT, unless otherwise stated.
• Final pricing is established through a personalized commercial offer.
• Payment is made by bank transfer, per contract terms.
• For retainer services, billing is monthly, paid in advance.

4. Delivery and Timelines

• Delivery timelines are estimated and may vary based on project complexity.
• Standard timelines: Website 3-5 days, Azure Setup 5-7 days, Quick Wins 1-2 days.
• Delays caused by lack of client-provided information are not attributable to CyberBuild.

5. Intellectual Property

• Source code developed under contract becomes client property after full payment.
• CyberBuild retains rights over its own tools, frameworks, and methodologies.
• Website content (text, design, logo) is the property of CyberBuild Solutions.

6. Confidentiality

Both parties commit to maintaining the confidentiality of commercial and technical information obtained during the collaboration. The confidentiality obligation survives contract termination.

7. Limitation of Liability

• CyberBuild is not liable for indirect damages, lost profits, or business interruption.
• Total liability is limited to the value of the relevant contract.
• The free IT audit is offered without warranty and does not constitute a contractual relationship.

8. Termination

• One-time contracts end upon project delivery and acceptance.
• Retainer services can be cancelled with 30 days notice.
• In case of non-payment, CyberBuild reserves the right to suspend services.

9. SLA, Support and Maintenance

• Support levels (hours, response times, channels) are defined in the offer/contract or an SLA addendum.
• Planned maintenance windows may cause temporary interruptions and will be communicated in advance where possible.
• Incidents caused by third parties (cloud providers, ISPs, licenses, external services) are outside CyberBuild direct control.

10. Warranties and Disclaimers

• Services are delivered according to professional best practices and contractually agreed specifications.
• Except for warranties expressly stated in contract, services are provided “as is” and “as available”.
• CyberBuild does not guarantee specific business outcomes (e.g., revenue, conversions), which depend on external factors.

11. Cancellation, Refund and Rescheduling

• For one-time projects, advance payments already consumed by delivered work are non-refundable.
• Any partial refund is evaluated proportionally to completed deliverables at termination date.
• Workshop/training sessions may be rescheduled with at least 24 hours notice.

12. Force Majeure

Neither party is liable for failure to perform obligations caused by force majeure events (e.g., natural disasters, major internet/power outages, government actions) for the duration of such events.

13. Data Protection

Personal data processing is carried out in accordance with our Privacy Policy and the GDPR. Full details are available on the dedicated page.

14. Governing Law

These terms are governed by Romanian law. Any disputes shall be resolved by the competent courts of Bucharest, Romania.
